Part B: Salary-Backed Loan Terms
The following sections apply to every customer who applies for, or is granted, a salary-backed loan facility by Maralal, and to that customer's employer and guarantor(s). They form part of the Maralal loan application form and are binding once the relevant application, instruction or guarantee form is signed. The specific details (names, account numbers, amounts, dates and rates) are those recorded on the signed forms.
Definitions. In this Part: "Employee" or "Customer" means the loan applicant; "Employer" means the Employee's employer; "Guarantor" means any person who signs the Guarantee and Undertaking; "Slip Account" means the Employee's account held with Maralal; and "Loan" means any loan, overdraft or cash credit facility granted by Maralal to the Employee.
8. Employee Irrevocable Instructions
By signing the Employee Irrevocable Instructions form, the Employee:
8.1 irrevocably instructs the Employer to pay the Employee's salary through the Employee's Slip Account held at Maralal;
8.2 waives the right to change the salary account until such time as Maralal states otherwise;
8.3 undertakes that the Employee's net salary, as declared on the form, shall not be committed further to any other obligation; and
8.4 authorises the Employer, on termination of employment for any reason, to deduct the outstanding loan balance, together with any other charges and expenses incurred on the Employee's account with Maralal as at that date, from the Employee's final salary payment, leave pay, bonus pay and other termination benefits (excluding pension), and to remit the same to Maralal.
9. Employer Irrevocable Instructions
By completing and signing the Employer's confirmation (Part B of the Employee Irrevocable Instructions form), the Employer:
9.1 confirms the Employee's date of employment, date of confirmation, gross salary and net salary as stated on the form;
9.2 confirms that the Employee is on permanent employment;
9.3 undertakes to act in accordance with the Employee's irrevocable instructions set out in Section 8;
9.4 undertakes to remit the Employee's salary through Maralal until the loan requested is fully redeemed; and
9.5 undertakes to notify Maralal in the event of the termination of the Employee's employment.
The Employer's confirmation shall be signed and dated by an authorised officer of the Employer, stating their name and designation, on behalf of the company.
10. Guarantee and Undertaking
In consideration of Maralal granting or continuing banking facilities to the Employee for as long as Maralal may think fit, at the Employee's request, each Guarantor who signs the Guarantee and Undertaking form agrees as follows:
10.1 Payment on demand. The Guarantor agrees to pay and satisfy Maralal on demand all sums of money which are now, or shall at any time be, owing to Maralal on any account whatsoever, whether from the Employee solely, jointly with any other person(s), or from any firm in which the Employee may be a partner. This includes the amount of notes or bills discounted or paid, and loans, credits or advances made to or for the accommodation of the Employee or at the Employee's request, together with legal and Maralal charges occasioned by or incidental to this or any other security held by or offered to Maralal for the same indebtedness.
10.2 Limit of liability. The total liability ultimately enforceable against the Guarantor under the guarantee shall not exceed the sum stated on the signed guarantee form, together with interest on that sum at the rate per annum stated on the form, calculated from the date of Maralal's demand on the Guarantor for payment.
10.3 Specific facility. Alternatively, where the guarantee is given in consideration of Maralal granting the Employee a specific loan, overdraft or cash credit limit stated on the form, the Guarantor guarantees to Maralal the repayment of that facility together with all interest due on it, plus all costs, charges and expenses relating to it.
10.4 Lien and set-off. As security, the Guarantor grants Maralal a lien over, and the right of set-off against, the balance in the Guarantor's Slip Account(s) held at Maralal.
10.5 Recall of facility. Maralal shall be at liberty to recall the loan, overdraft or cash credit at any time. If the Employee fails to repay the recalled amount, together with accrued interest, or any part of it, the Guarantor authorises Maralal to appropriate from the Guarantor's account(s) any amount necessary to settle the Employee's loan, overdraft or cash credit account(s), with accrued interest, without further reference to the Guarantor.
10.6 Continuing security. This guarantee and undertaking:
(a) shall not be considered satisfied by any intermediate payment or satisfaction of the whole or any part of any sum owing, but shall be a continuing security extending to cover any sum or sums of money that for the time being constitute the balance due from the Employee to Maralal on any account mentioned above;
(b) shall be binding as a continuing security on the Guarantor's executors, administrators and legal representatives in respect of the Guarantor's estate in the event of death, until the Employee's debt obligations to Maralal are fully satisfied;
(c) provides that any judgment recovered by Maralal against the Employee in respect of such indebtedness shall be binding and conclusive on and against the Guarantor and the Guarantor's executors, administrators and legal representatives in all courts of law and elsewhere. For the avoidance of doubt, the Guarantor shall at all times while the facility is outstanding be and remain jointly and severally liable with the principal borrower and may be sued in any court of law as such; and
(d) is created as security for the loan, overdraft or cash credit extended to the Employee under the loan agreement and for the sum stated on the signed guarantee form, and shall be in addition to, and shall not in any way be prejudiced or affected by, any collateral or other security now or hereafter held by Maralal for all or any part of the money guaranteed.
10.7 Execution. The guarantee is signed, sealed and delivered by each Guarantor in the presence of a witness, with the Guarantor's full name, address and description recorded on the form. Where there is more than one Guarantor, each Guarantor is bound individually and jointly.
